TenderDesk Bid Support Terms v2.1 (accepted in writing by email)
Provider: Jannick Guenther trading as TenderDesk, ABN 67 987 558 040, Queensland, Australia ("TenderDesk", "we").
Client: the business named on our invoice ("you").
These terms apply to every engagement. You accept them by replying in writing that you accept these terms, or by paying our invoice for the engagement fee. No signature is required.
1. Services. For the tender you nominate in writing we prepare: a compliance matrix, an evidence checklist, completed returnable schedules and a draft response scored against the published evaluation criteria ("the deliverables"). You remain the bidder: you review and approve all content and lodge the submission yourself. We do not contact the procuring entity, do not lobby and do not represent you.
2. Free matrix. The one-page compliance matrix is free and creates no obligation on either side.
3. Exclusivity per tender. We will not prepare materials for another bidder on the same tender. If we are already engaged on that tender we say so at once and no engagement arises.
4. Fees. Fixed fee per tender as published on tenderdeskhq.com at the time you engage (Opportunity Scan: AUD 290, credited in full against a response fee; council/local government tenders up to AUD 500,000: AUD 1,450; state and federal tenders up to AUD 2,000,000: AUD 2,450; larger tenders by written quote; tenders closing in under five business days: +25%). Fees are invoiced on delivery of the review copy (or of the scan), payable within 7 days by bank transfer. Final, editable files are released on payment. We are not registered for GST; no GST is charged. A success-fee arrangement is only available under a separate written agreement.
5. Timing. Matrix within 48 hours of receiving the tender documents. Review copy within 5 business days of receiving your evidence, one round of written changes included. If we cannot meet the tender's closing date we say so before you pay.
6. Your obligations. Provide accurate, timely evidence (past projects, insurances, licences, personnel, financials, systems). We do not verify your statements. You are solely responsible for the content of the lodged submission. Where a required management system (e.g. WHS, quality) does not exist, we decline the tender rather than invent it.
7. AI and review. Drafting and checking are performed with AI systems under the direction of Jannick Guenther, who is the accountable contractor. There is no separate human reviewer; every matrix line carries a clause and page reference so that you can verify it. Where a tender asks about AI assistance or third-party preparation, you disclose it; we supply the wording.
8. Confidentiality and data. We keep your non-public information confidential for three years, use it only for your bid and never share it with another bidder. Your documents are processed on cloud services that may be located outside Australia and are deleted 30 days after delivery, or earlier on request.
9. Intellectual property. Deliverables belong to you on payment of the invoice. Our templates, methods and tools remain ours.
10. No guarantee; liability; insurance. We do not guarantee any award. Our total liability arising from an engagement is limited to the fees you paid for that tender; neither party is liable for indirect or consequential loss. Nothing in these terms excludes rights you have under the Australian Consumer Law that cannot be excluded. TenderDesk does not hold professional indemnity insurance; you engage on that basis.
11. Refunds. If we cannot deliver the review copy by the agreed date for reasons within our control, the engagement fee is refunded in full. Otherwise fees are not refundable once work has started.
12. Communication. Correspondence is in writing (email). Questions are answered in writing within one business day (Queensland time, AEST).
13. Term. Engagement is per tender. Either party may end future engagements on seven days' written notice.
14. Governing law. Queensland, Australia. Disputes go first to good-faith negotiation, then mediation in Brisbane, then the courts of Queensland.
